Governance
Good corporate governance is the foundation for creating long-term value and achieving business excellence. Through a culture of integrity, ethics and professionalism, Pertamina NRE strengthens organisational resilience while promoting accountability and transparency in every aspect of managing the company.
We deliver on this commitment through compliance with applicable laws and regulations, effective risk management, responsible decision-making and strong oversight by the company's governance organs. To ensure Environmental, Social and Governance matters are implemented effectively, Pertamina NRE has established a Sustainability Committee that provides strategic direction and regularly oversees the implementation of sustainability programmes across the company.
Corporate Ethics
Pertamina NRE believes corporate ethics are the foundation for building trust and conducting business responsibly. In line with Pertamina's commitment to transparent and trustworthy governance, we apply a zero-tolerance principle towards corruption, gratification and all forms of fraud through our Code of Conduct, anti-corruption policy, the ISO 37001:2016 Anti-Bribery Management System, and policies governing political involvement and the filing of State Official Wealth Reports (LHKPN) by officials required to do so.
Through these policies, we ensure that every employee, the Board of Directors and our business partners conduct business with full integrity, responsibility and professionalism, strengthening trust, accountability and good corporate governance.
Anti-Bribery Management System
Pertamina NRE is committed to conducting its business ethically, transparently and responsibly as part of implementing Good Corporate Governance (GCG). Pertamina NRE therefore applies a certified ISO 37001:2016 Anti-Bribery Management System (ABMS) to prevent, detect and address bribery risks effectively. Pertamina NRE also applies the anti-bribery management system policy set out in its internal document, the PT Pertamina Power Indonesia Integrated Management System (SMT) Management Guidelines No. A12-001/PPI40100/2025-S9 dated 30 April 2025.
This commitment is reinforced by the 4 No's principle — No Bribery, No Kickback, No Gift and No Luxurious Hospitality — which guides all employees in conducting business with integrity, professionalism and compliance with applicable laws and regulations.
Whistleblowing System (WBS)
Pertamina NRE operates a Whistleblowing System (WBS) through which all stakeholders can report suspected violations, fraud or conduct that contravenes laws and regulations or corporate ethics. Good Corporate Governance (GCG)
Pertamina NRE continues to strengthen the implementation of Good Corporate Governance (GCG) as the foundation for creating long-term value and running a sustainable business. Guided by the principles of transparency, accountability, responsibility, independence and fairness, we ensure every business process, decision and stakeholder relationship is conducted professionally, ethically and with integrity.
Corporate governance is carried out in accordance with Law No. 40 of 2007 on Limited Liability Companies through a two-tier board system comprising the General Meeting of Shareholders (GMS), the Board of Commissioners and the Board of Directors. Each corporate organ performs its functions and responsibilities in accordance with laws and regulations and the Articles of Association, supported by committees and supporting functions to ensure effective oversight, sound risk management and accountable decision-making.
Articles of Association
The Articles of Association are the Company's constitutional foundation and the reference for the conduct of corporate governance. The document sets out the objectives, structure and division of authority and responsibilities of the General Meeting of Shareholders (GMS), the Board of Commissioners and the Board of Directors, serving as the guide for decision-making and the conduct of business in accordance with applicable laws and regulations.
Good Corporate Governance Assessment
Pertamina NRE is committed to applying the principles of Good Corporate Governance (GCG) consistently across all business and operational activities. As part of its efforts to improve the quality of corporate governance, Pertamina NRE periodically assesses its GCG implementation based on Decree of the Secretary of the Ministry of State-Owned Enterprises No. SK-16/S.MBU/2012 on Indicators/Parameters for Assessing and Evaluating the Implementation of Good Corporate Governance (GCG) in State-Owned Enterprises. The assessment covers six main aspects:
